  • Proposal;

  • Statement of Work (“SOW”);

  • Invoice;

  • Service Agreement;

  • Subscription;

  • Order confirmation; or

  • Other written agreement accepted by both parties.


3. Relationship Between These Terms and Service-Specific Agreements

These Terms govern general use of the Website and the Company’s overall relationship with Clients.

Specific professional services may additionally be governed by:

  • Invoice;

  • Refund Policy;

  • Login credentials;

  • Domain access;

  • Hosting access;

  • Advertising-account access;

  • Social-media access;

  • Analytics access;

  • Third-party platform access; and

  • Other technical or business information.

The Client must ensure that all information and materials supplied to Tech Web Solution are accurate and that the Client has the necessary rights, licenses, consents, and permissions to use them.


9. Client Credentials and Account Security

Where the Client provides access credentials to Tech Web Solution, the Client authorizes the Company and its authorized personnel to use those credentials solely for the purpose of delivering the agreed Services.

The Client remains responsible for:

  • Maintaining the security of its accounts;

  • Providing valid credentials;

  • Maintaining appropriate administrator access;

  • Promptly notifying us of unauthorized access;

  • Updating passwords when necessary; and

  • Complying with the terms of the relevant third-party platform.

Tech Web Solution will use reasonable measures to protect credentials under its control, but cannot guarantee the security of systems controlled by third parties or the Client.


10. Client Content and Intellectual Property

The Client retains ownership of materials supplied by the Client, including:

  • Text;

  • Logos;

  • Photographs;

  • Videos;

  • Trademarks;

  • Product information;

  • Business data; and

  • Other materials provided by the Client.

The Client grants Tech Web Solution a limited, non-exclusive right to access, reproduce, modify, process, and use such materials only as reasonably necessary to provide the agreed Services.

The Client represents that it has the legal right to provide and authorize the use of such materials.

The Client remains responsible for claims arising from materials supplied by the Client that infringe the rights of third parties or violate applicable law.


11. Company Intellectual Property

Unless expressly transferred in writing, Tech Web Solution retains all rights in its pre-existing and proprietary materials, including:

  • Frameworks;

  • Templates;

  • Development methodologies;

  • Internal tools;

  • Software libraries;

  • Reusable code;

  • Processes;

  • Systems;

  • Strategies;

  • Know-how;

  • Documentation;

  • Design systems;

  • Proprietary techniques; and

  • Other Company intellectual property.

Nothing in these Terms transfers ownership of Tech Web Solution’s pre-existing intellectual property to the Client.


12. Project Deliverables and Ownership

Ownership of specific final deliverables shall be governed by the applicable Service Agreement, proposal, quotation, SOW, or invoice.

Unless otherwise agreed in writing:

Full ownership or applicable usage rights in final Client-specific deliverables shall transfer only after all amounts due for the relevant project or service have been paid in full.

Until payment has been cleared, Tech Web Solution may retain ownership, control, or withholding rights over unpaid deliverables to the extent permitted by applicable law and the relevant agreement.

Third-party software, themes, plugins, stock assets, APIs, fonts, licenses, and other third-party materials remain subject to their respective licensing terms.


13. Website Content and Company Materials

All Website materials owned or controlled by Tech Web Solution, including:

  • Text;

  • Graphics;

  • Logos;

  • Images;

  • Layouts;

  • Designs;

  • Branding;

  • Videos;

  • Source materials;

  • Software;

  • Code;

  • Documentation; and

  • Other content

are protected by applicable intellectual-property laws.

You may not reproduce, republish, distribute, modify, sell, license, reverse engineer, scrape, or commercially exploit Company-owned Website content without prior written permission.

15. SEO Disclaimer

SEO involves ongoing optimization and is influenced by factors outside the Company’s control.

Tech Web Solution does not guarantee:

  • First-page rankings;

  • #1 rankings;

  • Specific keyword positions;

  • Guaranteed organic traffic;

  • Guaranteed leads;

  • Guaranteed sales;

  • Guaranteed revenue;

  • Specific conversion rates; or

  • Any particular search-engine outcome.

Search-engine algorithms, competition, website condition, market conditions, technical changes, Client actions, content quality, and other factors may affect SEO results.

Performance results are therefore not guaranteed unless expressly stated in a separate written agreement.


16. Google Ads and Digital Advertising Disclaimer

Tech Web Solution may provide Google Ads, PPC, Meta Ads, and other advertising services.

However, advertising platforms independently control:

  • Ad approvals;

  • Account reviews;

  • Policy enforcement;

  • Account restrictions;

  • Bidding systems;

  • Delivery;

  • Audience availability;

  • Algorithmic decisions; and

  • Platform functionality.

We do not guarantee:

  • Advertising approval;

  • Specific impressions;

  • Specific clicks;

  • Specific leads;

  • Specific conversions;

  • Specific sales;

  • Guaranteed ROI;

  • Guaranteed ROAS; or

  • Continued availability of an advertising account.

Advertising budgets paid to third-party platforms are separate from Tech Web Solution’s management fees unless expressly stated otherwise.


17. Website Development and Technical Services

Project timelines, delivery dates, milestones, and estimated completion dates are dependent upon:

  • Project complexity;

  • Client responsiveness;

  • Availability of required content;

  • Client approvals;

  • Third-party integrations;

  • Technical dependencies;

  • Scope changes;

  • Payment status; and

  • Other circumstances affecting implementation.

Client-caused delays may result in corresponding changes to delivery timelines.

Additional work outside the agreed scope may require additional fees and written approval.


18. Revisions and Scope Changes

Services are delivered according to the agreed scope.

Requests that materially change the approved requirements may be treated as scope changes and may require:

  • Additional fees;

  • Additional development time;

  • Revised milestones; or

  • A separate quotation or SOW.

The number of included revisions, where applicable, shall be determined by the relevant project proposal or agreement.


19. Payments and Billing

All payments must be made according to the applicable:

  • Invoice;

  • Quotation;

  • Proposal;

  • Service Agreement;

  • Subscription;

  • SOW; or

  • Other written payment terms.

Payment may be required:

  • In advance;

  • By milestone;

  • Monthly;

  • On a recurring basis; or

  • According to another agreed schedule.

Late or missed payments may result in:

  • Work suspension;

  • Service suspension;

  • Delayed delivery;

  • Withholding of deliverables;

  • Additional applicable charges; or

  • Lawful recovery action.

Taxes, including GST and applicable international taxes, may apply.


20. Refunds and Cancellations

Refunds and cancellations are governed by the Company’s current:

Refund Policy and Cancellation Policy, together with the applicable Service Agreement, quotation, proposal, invoice, and SOW.

Cancellation does not automatically create an entitlement to a refund.

Amounts relating to completed work, work already performed, commenced service periods, third-party expenses, advertising spend, domain registration, hosting, software licenses, and other non-refundable items may remain payable.

In case of conflict, the applicable specific written agreement shall govern to the extent expressly stated.


21. Chargebacks and Payment Disputes

Clients are expected to contact Tech Web Solution and provide a reasonable opportunity to resolve billing or service disputes before initiating a chargeback.

Unauthorized, fraudulent, or unjustified chargebacks may result in:

  • Suspension of affected Services;

  • Account or service termination;

  • Withholding of unpaid deliverables;

  • Recovery of legitimately outstanding amounts;

  • Recovery of reasonable chargeback or collection costs where permitted by law; and

  • Other lawful recovery measures.

Initiating a chargeback does not automatically cancel payment obligations for Services already performed.


22. Confidentiality

Tech Web Solution and the Client may receive confidential information during the course of an engagement.

Each party agrees to use reasonable measures to protect confidential information and not disclose it except:

  • To authorized personnel or service providers who need the information;

  • Where required to provide the Services;

  • Where required by law or legal process;

  • Where the information has become publicly available through no breach of confidentiality; or

  • With the other party’s written consent.

Where a separate NDA or confidentiality agreement exists, that agreement shall govern confidential information to the extent applicable.

Personal information shall be handled in accordance with the Company’s Privacy Policy and applicable law.

  • Portfolio;

  • Website;

Where the Client has expressly requested confidentiality in writing, Tech Web Solution will respect the applicable confidentiality arrangement.


31. Indemnification

To the maximum extent permitted by applicable law, the Client agrees to indemnify and hold harmless Tech Web Solution, A2Z Tech Web Solutions LLP, and their respective partners, employees, contractors, representatives, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

  • Client-provided content;

  • Client’s breach of these Terms;

  • Client’s violation of applicable law;

  • Client’s infringement of third-party rights;

  • Client’s misuse of the Website or Services;

  • Client’s products, services, or business practices;

  • Unauthorized use of third-party materials;

  • Fraudulent or unlawful activity; or

  • Instructions provided by the Client that result in a third-party claim.

This provision does not apply to the extent a claim is caused by Tech Web Solution’s own conduct where liability cannot legally be excluded.


32. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and general Website content are provided on an “as is” and “as available” basis.

Tech Web Solution does not warrant that:

34. Force Majeure

Tech Web Solution shall not be responsible for delay, interruption, or failure to perform caused by circumstances beyond its reasonable control, including:

  • Earthquake;

  • War;

  • Terrorism;

  • Government action;

  • Regulatory restrictions;

  • Internet outages;

  • Power failures;

  • Cybersecurity incidents;

  • Epidemics or pandemics; or

Where reasonably possible, the Company will take commercially reasonable steps to mitigate the impact.

  • Third-party subscriptions may continue according to their terms;

  • Confidentiality obligations remain effective;

  • Liability limitations remain effective; and

  • Dispute-resolution and governing-law provisions remain effective.


37. International Clients

Tech Web Solution provides Services internationally, including to Clients located in:

  • India;

  • United States;

  • Canada;

  • United Kingdom;

  • Europe;

  • New Zealand;

  • Australia; and

  • Other countries.

International Clients are responsible for complying with laws applicable to their own jurisdiction.

Unless otherwise agreed in writing, the Company’s contractual relationship remains governed by the applicable laws and dispute-resolution provisions specified in the relevant Service Agreement and these Terms, subject to mandatory laws applicable to the Client.

International payments, currency conversion, banking charges, taxes, and payment-provider fees are governed by the applicable payment and refund terms.


38. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India, subject to mandatory rights and protections that cannot lawfully be excluded.

Before commencing formal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith communication.

Any formal dispute-resolution mechanism, including arbitration or court jurisdiction, shall be governed by the dispute-resolution provision contained in the applicable Service Agreement or other specific written agreement.

Where no separate dispute-resolution provision applies, disputes shall be subject to the jurisdiction of the competent courts in New Delhi, India, to the extent permitted by applicable law.

For clarity, the specific dispute-resolution provision in a signed Service Agreement shall prevail over this general provision.


39. No Waiver

Failure by Tech Web Solution to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.

A waiver is valid only if expressly provided in writing by an authorized representative of the Company.


40. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or limited to the minimum extent necessary, where legally permissible.

The remaining provisions shall continue in full force and effect.


41. Entire Agreement

These Terms, together with the applicable:

  • Service Agreement;

  • Quotation;

  • Proposal;

  • Statement of Work;

  • Invoice;

  • Refund Policy;

  • Cancellation Policy;

  • Privacy Policy;

  • Cookie Policy; and

  • Other expressly incorporated terms

constitute the applicable agreement governing the relationship between the Client and Tech Web Solution.

No prior oral statement shall override a written agreement unless expressly confirmed in writing by an authorized representative.


42. Assignment

The Client may not assign or transfer its rights or obligations under these Terms without prior written consent from Tech Web Solution.

Tech Web Solution may assign or transfer its rights and obligations as part of a restructuring, merger, acquisition, business transfer, or other lawful corporate transaction, subject to applicable law.


43. No Partnership or Agency

Nothing in these Terms creates or establishes:

  • A partnership;

  • Joint venture;

  • Employment relationship;

  • Franchise;

  • Fiduciary relationship; or

  • Agency relationship

between the Client and Tech Web Solution unless expressly agreed in writing.


44. Notices

Official notices relating to these Terms or a Client engagement may be provided through:

  • Email;

  • Written communication;

  • The Client’s registered contact information; or

  • Other communication methods specified in the applicable agreement.

Clients are responsible for keeping their contact information accurate and current.


45. Changes to These Terms

Tech Web Solution may update or modify these Terms from time to time.

The updated version will be published on the Website with an updated effective or revision date.

Changes may apply prospectively to new Website use, purchases, renewals, and service engagements, subject to applicable law and existing contractual obligations.

Where a material change affects an existing Client engagement, the applicable existing agreement shall continue to govern unless the parties expressly agree otherwise or applicable law requires otherwise.


46. Survival

The provisions that by their nature should survive termination shall continue to apply, including provisions relating to:

  • Payments;

  • Outstanding obligations;

  • Intellectual property;

  • Confidentiality;

  • Indemnification;

  • Disclaimers;

  • Limitation of liability;

  • Dispute resolution;

  • Governing law; and

  • Other rights or obligations intended to survive termination.
